1. Acceptance of Terms

By accessing or using the Redwood Tech insurance administration platform ("Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Platform.

2. Description of Services

Redwood Tech provides a cloud-based insurance administration platform designed for insurers, underwriting managers, and funeral parlours. Our services include, but are not limited to:

  • Policy Administration: End-to-end management of medical and funeral insurance policies, including issuance, endorsements, and lapses.
  • Claims Processing: Automated and manual claims intake, assessment workflows, and settlement management.
  • Broker Portal: Secure multi-tenancy access for brokers and intermediaries to manage their client portfolios.
  • Premium Collections: Debit order management, reconciliation, and collections reporting.
  • Reporting & Analytics: Configurable dashboards and regulatory reporting tools.

3. User Obligations

By using the Platform you agree to:

  • Provide accurate, current, and complete registration information and keep it up to date.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access.
  • Use the Platform only for lawful purposes and in accordance with all applicable South African laws and regulations, including the Financial Sector Regulation Act (FSRA) and the Protection of Personal Information Act (POPIA).
  • Not attempt to gain unauthorised access to any part of the Platform or its related systems.
  • Not upload, transmit, or store malicious code, viruses, or any material that could harm the Platform or other users.

4. Intellectual Property

All content, software, trademarks, and intellectual property rights associated with the Platform are and shall remain the exclusive property of Redwood Tech (Pty) Ltd or its licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes as contemplated by your service agreement. No rights are granted beyond those expressly stated in these Terms.

5. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that all personal information submitted through the Platform is collected and processed in accordance with POPIA and any other applicable data protection legislation.

6. Platform Security

Redwood Tech employs enterprise-grade security controls including end-to-end encryption (TLS 1.3), multi-factor authentication, role-based access control, and continuous monitoring. However, no system is entirely immune to security risks. You acknowledge that you are responsible for maintaining appropriate security measures on your own devices and network environments used to access the Platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Redwood Tech shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
  • Loss of profits, data, business, or goodwill, even if Redwood Tech has been advised of the possibility of such damages.
  • Interruptions, errors, or unavailability of the Platform caused by circumstances beyond our reasonable control, including force majeure events.

Our total aggregate liability in connection with these Terms shall not exceed the fees paid by you to Redwood Tech in the three (3) months immediately preceding the event giving rise to the claim.

8. Termination

Redwood Tech reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have breached these Terms or if required by law. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including intellectual property rights, disclaimers, and limitations of liability.

9. Modifications to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you via the Platform or by email. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or related to these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be referred to mediation and, if necessary, to the jurisdiction of the Gauteng Division of the High Court of South Africa.
